This End User License Agreement (“Agreement”) is a legally binding agreement between you (“Licensee,” “you,” or “your”) and ECOM SYSTEMS LLC, located in Cleveland, Tennessee (“Licensor,” “we,” “us,” or “our”), governing your use of the EZPRO software application (the “Software”).
By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.
Licensor grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to use the Software solely for Licensee’s internal business operations in accordance with this Agreement.

The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than those expressly stated in this Agreement.
Licensee is solely responsible for the data entered into the Software. Licensor does not claim ownership of Licensee data. Licensee agrees to comply with all applicable laws and regulations regarding the handling of personal, confidential, or protected information, including but not limited to HIPAA where applicable.
The Software is an administrative and operational tool and is not intended to provide medical, clinical, or diagnostic advice. Licensor does not represent or warrant that the Software complies with specific medical or healthcare regulatory requirements unless explicitly stated in writing.
This Agreement is effective until terminated. Licensor may terminate this Agreement immediately if you violate any provision of this Agreement. Upon termination, you must cease all use of the Software.
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE.
You agree to indemnify, defend, and hold harmless Licensor from and against any claims, damages, liabilities, costs, and expenses arising out of your use of the Software or violation of this Agreement.
This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles.
This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior or contemporaneous agreements, whether written or oral.
